Terms of Service
The rules, rights, and responsibilities governing your use of CLEX.
1 Acceptance of Terms
By registering for an account, generating an API key, or making any request to the CLEX API, you ("the Developer", "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using CLEX on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you must immediately discontinue use of our services.
2 Definitions
- "CLEX" refers to the CLEX platform, API, dashboard, documentation, and all related services operated by CLEX.
- "API" means the Application Programming Interface, endpoints, SDKs, and developer tools provided by CLEX.
- "Upstream Providers" refers to third-party AI model providers (e.g., NVIDIA, Meta, OpenAI, Google, Mistral, DeepSeek) whose models are accessible through the CLEX API.
- "Content" refers to all data, prompts, messages, and completions transmitted through the CLEX API.
3 License to Use
Subject to your compliance with these Terms, CLEX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the API for the sole purpose of developing, testing, and operating your applications. You may not sublicense, resell, redistribute, or offer the CLEX API layer as a standalone product or competing service.
4 API Usage & Rate Limits
You agree to use the API within the usage limits and rate constraints associated with your account tier. Automated circumvention of rate limits — including but not limited to rotating API keys via bots, creating multiple accounts to bypass quotas, or employing proxy layers designed to evade usage tracking — is strictly prohibited and will result in immediate account suspension. While our Free Tier is available to all registered users, CLEX reserves the right to adjust or revoke free-tier access at any time.
5 Upstream Provider Terms
CLEX routes your API requests to various upstream AI foundation models. In addition to these Terms, your use of the API is subject to the Acceptable Use Policies (AUPs) and Terms of Service of each upstream provider whose models you invoke. It is your responsibility to review and comply with those policies. The following activities are strictly prohibited and constitute grounds for permanent suspension:
- Generating or distributing child sexual abuse material (CSAM)
- Creating malware, exploit code, or facilitating cyberattacks
- Generating content that incites violence, hatred, or illegal activity
6 Payment & Billing
Paid plans are billed in advance on a monthly or annual basis. Usage-based charges (token overages, premium model access) are metered and invoiced at the end of each billing cycle. All fees are non-refundable unless otherwise stated. CLEX reserves the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
7 Intellectual Property
CLEX retains all rights, title, and interest in its platform, API, documentation, branding, and proprietary technology. You retain ownership of the applications you build using our API and the content you generate through it. Neither party acquires any rights in the other's intellectual property except as expressly set forth in these Terms.
8 Service Availability & SLA
CLEX strives to maintain high availability by leveraging smart failover routing across multiple infrastructure providers. However, all services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted service and are not liable for temporary outages caused by upstream provider incidents, network issues, or scheduled maintenance. Enterprise customers may negotiate separate SLA agreements.
9 Limitation of Liability
To the maximum extent permitted by applicable law, CLEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business opportunities, or goodwill — resulting from your use of or inability to use the API. You agree to indemnify and hold harmless CLEX, its officers, employees, and affiliates from any claims, damages, or legal proceedings arising from the content you submit, the applications you build, or your violation of these Terms.
10 Modifications & Governing Law
CLEX reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the CLEX dashboard at least 14 days prior to taking effect. Continued use of the API after modifications constitutes acceptance. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CLEX is incorporated, without regard to its conflict-of-law provisions.
